Observing the Rules of the Game
Recent high profile legal battles are a reminder that the role of a director in today’s private equity controlled portfolio companies can be a challenging one. As the global economic downturn takes its toll, we are experiencing a surge in cases where directors are now being sued by stakeholders in the hope to recover part of the losses by intermediary of a director’s and officer’s policy. This raises a number of issues in respect of their fiduciary duties.
